Themes in the ACQI MSA (summary — not binding)

  1. Platform licence for customer’s internal business purposes
  2. Customer retains ownership of Customer Data
  3. ACQI / group retains ownership of Platform IP
  4. Professional care warranty; no certification claims unless scheduled
  5. Discovery completeness not warranted; no sole reliance for deal decisions
  6. No deal-value / purchase-price / synergy damages
  7. Customer warranties + indemnity for authorised scanning, privacy lawfulness, migration direction
  8. Confidentiality both ways; clean-team is customer’s duty
  9. Data protection via DPA (prefer super-cap, not unlimited, for DP after counsel)
  10. Liability caps (fees-based)
  11. Governing law: England and Wales
  12. Service availability, if any, defined in SOW (do not market 99.9% on site)
