Themes in the ACQI MSA (summary — not binding)
- Platform licence for customer’s internal business purposes
- Customer retains ownership of Customer Data
- ACQI / group retains ownership of Platform IP
- Professional care warranty; no certification claims unless scheduled
- Discovery completeness not warranted; no sole reliance for deal decisions
- No deal-value / purchase-price / synergy damages
- Customer warranties + indemnity for authorised scanning, privacy lawfulness, migration direction
- Confidentiality both ways; clean-team is customer’s duty
- Data protection via DPA (prefer super-cap, not unlimited, for DP after counsel)
- Liability caps (fees-based)
- Governing law: England and Wales
- Service availability, if any, defined in SOW (do not market 99.9% on site)
